This End-User License Agreement (“Agreement”) is a binding agreement between you (“you” or “Customer”) and FlowSense Solutions (“FlowSense,” “we,” or “us”) governing your use of the FlowSense CFO Dashboard, including any connected application, web interface, and related documentation (the “App”).

By installing, connecting, or using the App, you agree to this Agreement. If you do not agree, do not connect or use the App. If you are entering into this Agreement on behalf of a company, you represent that you have authority to bind that company.

1. License grant

Subject to your compliance with this Agreement, FlowSense grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the App for your internal business purposes during the term of this Agreement.

2. Restrictions

You may not, and may not permit anyone else to:

• Copy, modify, translate, or create derivative works of the App
• Reverse engineer, decompile, or disassemble the App, or attempt to derive its source code, except where that restriction is prohibited by law
• Rent, lease, sell, sublicense, distribute, or otherwise provide the App to any third party
• Remove or obscure any proprietary notices, or use FlowSense marks without written permission
• Use the App to violate any law, infringe any right, or transmit malicious code
• Circumvent or interfere with the App’s security, rate limits, or access controls, or use it to gain unauthorized access to any system or data

3. QuickBooks connection

The App connects to Intuit QuickBooks Online (“QuickBooks”) using OAuth 2.0 with read-only accounting scope. By authorizing the connection, you represent that you are permitted to grant access to the QuickBooks company you connect and to the data within it.

Intuit is not a party to this Agreement. Your use of QuickBooks is governed by your own agreement with Intuit. FlowSense is not responsible for QuickBooks availability, accuracy, or any change Intuit makes to its APIs. You may revoke the App’s access at any time from within QuickBooks, which will terminate the App’s ability to retrieve your data.

4. Your data

As between you and FlowSense, you retain all right, title, and interest in the data the App retrieves from your QuickBooks company (“Customer Data”). You grant FlowSense a limited license to access, process, store, and display Customer Data solely to provide the App to you. Our handling of Customer Data is described in our Privacy Policy, which is incorporated into this Agreement.

5. No financial, accounting, or tax advice

The App presents figures derived from your QuickBooks data for informational purposes only. It does not constitute financial, accounting, tax, investment, or legal advice, and it is not a substitute for professional judgment or for your books of record. Reported figures depend entirely on the accuracy and completeness of the data in your QuickBooks company. You are solely responsible for verifying any figure before relying on it, and for all decisions you make.

6. Availability and support

The App is provided as a demonstration and client dashboard. FlowSense does not commit to any uptime, service level, or support response time unless separately agreed in a signed written contract. We may modify, suspend, or discontinue the App at any time.

7. Intellectual property

The App, including all software, design, and content other than Customer Data, is owned by FlowSense and protected by intellectual property laws. This Agreement grants a license only; no ownership rights transfer to you. Any feedback you provide may be used by FlowSense without restriction or obligation.

8. Disclaimer of warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWSENSE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FLOWSENSE DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY FIGURE IT DISPLAYS WILL BE ACCURATE OR COMPLETE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWSENSE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THE APP, EVEN IF ADVISED OF THE POSSIBILITY. FLOWSENSE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID FLOWSENSE FOR THE APP IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10. Indemnification

You will indemnify and hold harmless FlowSense from any claim, damage, or expense arising from your misuse of the App, your violation of this Agreement, or your violation of any law or third-party right, including any claim that you lacked authority to connect a QuickBooks company.

11. Term and termination

This Agreement takes effect when you first connect or use the App and continues until terminated. You may terminate at any time by disconnecting the App in QuickBooks and ceasing use. We may suspend or terminate your access at any time, with or without notice, if you breach this Agreement or if we discontinue the App. Sections 4, 5, and 7 through 12 survive termination.

12. General

This Agreement is governed by the laws of the State of New York, without regard to its conflict of laws rules, and the state and federal courts located in New York County, New York will have exclusive jurisdiction. If any provision is held unenforceable, the remainder stays in effect. This Agreement, together with the Privacy Policy, is the entire agreement between the parties regarding the App and supersedes prior understandings. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our written consent.

We may update this Agreement; material changes take effect when we post the revised version with a new effective date, and your continued use constitutes acceptance.
